The rules that apply when you use the Founder Portal website, submit information, request an estimate, complete an assessment, communicate with us, or purchase a service.

2. Acceptance of these Terms

By accessing the website, creating a submission, requesting an estimate, purchasing a service, checking an acceptance box, signing a proposal, or otherwise clearly accepting these Terms, you agree to be bound by these Terms of Service, our Privacy Policy, Refund Policy and Acceptable Use Policy, and any applicable proposal, statement of work, order form, partner-specific agreement, or additional terms presented before purchase. If you do not agree, do not use the website or purchase services.

If you accept these Terms on behalf of a company or another person, you confirm that you are authorised to act for them, provide their information, and enter into the agreement, and that they agree to be bound. Electronic acceptance may include checking an acceptance box, clicking an order or payment button, signing electronically, replying with clear written approval, paying an approved invoice, submitting an accepted proposal, or beginning to use a purchased service.

3. Eligibility

You may use Founder Portal only if you are at least 18, have legal capacity to contract, provide accurate information, are not prohibited from receiving the service by applicable law, are not acting for a fraudulent or unlawful business, are not subject to sanctions or restrictions preventing the service, and are authorised to act for the business concerned. We may request reasonable information to verify identity, age, authority, ownership, business activity, address, source of information and service eligibility, and may refuse or stop a service if eligibility cannot be reasonably confirmed.

4. Business-to-business focus

Founder Portal’s services are primarily designed for founders, entrepreneurs, businesses and professional users. You confirm that information and services purchased are intended mainly for business or professional purposes. Where mandatory consumer-protection rights apply to you, nothing in these Terms removes or limits rights that cannot legally be excluded.

5. Services provided by Founder Portal

Core services: readiness assessment, US company setup preparation, C-Corporation or LLC workflow guidance, Stripe Atlas application guidance, business-description preparation, founder-information preparation, ownership-information preparation, Stripe account preparation, website-readiness review, payment-flow review and post-incorporation planning.

Additional services: business banking preparation, accounting onboarding, bookkeeping coordination, tax-filing coordination, compliance reminders, contract-review coordination, legal-service coordination, insurance-application support, website development, checkout and invoicing, SEO, social media, PPC advertising, CRM, workflow automation, AI and agentic systems and digital transformation.

Availability may vary by business type, industry, country, founder eligibility, technical requirements, partner availability, legal or regulatory restrictions, third-party provider requirements and project complexity. Founder Portal is not required to accept every enquiry or project.

6. Scope of work

The specific work included in a paid engagement is described in one or more of: proposal, quotation, order form, service agreement, statement of work, invoice, email confirmation, or partner agreement. Website content is general information and does not override a signed service agreement.

7. No guarantees

Founder Portal does not guarantee approval from Stripe or Stripe Atlas, bank approval, government approval, company formation, eligibility or a final professional opinion. Regulated work is delivered by qualified partners under their own agreements.

8. Pricing, estimates and payment

Pricing on the website and calculator is indicative. A binding price is confirmed in the proposal, order form or invoice for your engagement. Prices may change based on additional work, professional complexity, third-party pricing, currency changes, urgent delivery, additional revisions, technical limitations, new information, and applicable taxes or fees.

Where payment is late we may pause work, withhold non-essential deliverables, cancel scheduled work, charge agreed late fees and recover reasonable collection costs. Prices may exclude taxes unless clearly stated otherwise.

9. Third-party services and fees

Setup involves third parties (for example Stripe, Stripe Atlas, banks, insurers, hosting, tax and legal partners, external integrations). Founder Portal does not control third-party pricing, renewal terms, refund rules, taxes or fee changes. Where possible, third-party charges are identified before purchase.

10. Stripe Atlas and Stripe

When you use Stripe or Stripe Atlas, you interact with Stripe under Stripe’s own terms and privacy policy. Founder Portal does not guarantee Stripe Atlas acceptance, company formation, EIN timing, Stripe activation or any specific outcome.

11. Client information and cooperation

To deliver services we may need accurate founder names, addresses, ownership, business activities, website content, pricing, customer descriptions, transaction estimates, company documents and tax information. Delays or refusals to provide required information may delay or prevent delivery.

12. Credentials and technical access

Do not share online-banking login details or private encryption keys. Where temporary technical access is necessary it should be limited, use separate user permissions where possible, and be removed once no longer required.

13. Confidentiality and your materials

Each party will treat the other’s non-public information as confidential. We may retain minimal records to comply with law and protect legal rights. Ownership of your original materials remains with you.

14. Professional partners and independent responsibility

Founder Portal may introduce accountants, lawyers, insurance professionals, developers, marketing and automation specialists and other consultants. Unless clearly stated otherwise, professional partners act independently under their own agreements. We do not provide legal, tax, accounting, insurance, investment, banking, financial, immigration or securities advice.

15. Websites, legal pages, marketing and analytics

Where we implement legal pages, marketing, SEO, PPC, campaigns and analytics we do not guarantee search rankings, indexing, traffic, advertising approval, cost per click, leads, sales, revenue or conversion rate.

16. Client approvals and delivery

Certain steps require client approval, for example legal matters, tax matters, accounting, insurance, contracts, financial decisions, customer commitments, public claims and safety-sensitive work. Delays in approval may extend the delivery schedule. Any stated delivery date is an estimate unless expressly identified as a guaranteed contractual deadline.

17. Refunds

Refund rules are set out in the Refund Policy.

18. Prohibited use

You must not use Founder Portal to break the law or otherwise breach our Acceptable Use Policy.

19. Intellectual property

Founder Portal and its licensors retain ownership of website design, Founder Portal branding, logo, templates, frameworks, calculator design, assessment methodology and processes. Stripe and Stripe Atlas are trademarks of Stripe, Inc.; Founder Portal may refer to Stripe factually but must not imply sponsorship or endorsement.

20. Third-party links and integrations

Founder Portal may link to or integrate with Stripe, Stripe Atlas, banks, accountants, lawyers, insurers, hosting providers, software tools, social platforms and analytics. Their own terms apply.

21. Suspension or refusal of service

Founder Portal may suspend or refuse service where required by law, this agreement, or the Acceptable Use Policy. Where we are unable to continue we will offer, where possible, your agreement, a reasonable substitute, or an applicable refund where required.

22. Termination

After termination, outstanding fees remain due, completed work remains payable, third-party fees remain subject to third-party terms, access may be removed and confidentiality obligations continue.

23. Availability of the website

We do not promise that the website will always be available, that every error will be corrected, or that every service will suit every business.

24. Limitation of liability

Except where liability cannot legally be limited, Founder Portal’s total liability arising from a specific paid service will not exceed the amount paid to Founder Portal for the service giving rise to the claim during the preceding six months. Founder Portal is not liable for third-party decisions, indirect losses or lost profits.

25. Force majeure

Founder Portal is not liable for failure or delay caused by events outside reasonable control, including sanctions, natural disaster, fire, flood, earthquake, pandemic, power failure, internet failure, cyberattack, cloud outage, banking interruption or Stripe outage.

26. Notices

Notices to Founder Portal may be sent to legal@founder-portal.com and [INSERT REGISTERED ADDRESS]. A notice may require confirmation of receipt.

27. Governing law and disputes

Proposed governing law: the laws of the Republic of Armenia. The parties should first attempt to resolve any dispute in good faith for at least thirty calendar days after written notice. If not resolved, the dispute will be brought before the competent courts of the Republic of Armenia unless a different jurisdiction is agreed in writing.

28. Severability, assignment and entire agreement

If a provision is found invalid or unenforceable, the remaining provisions remain effective. You may not assign these Terms without our written consent. These Terms, together with the policies and documents referenced above and any signed proposal or statement of work, form the entire agreement between you and Founder Portal about the subject matter.

29. Changes to these Terms

We may update these Terms and, for material changes affecting active paid services, will provide notice through email, client portal, website notice or another appropriate channel.
